Manutencoop Facility Management S.p.A.: Aldo Chiarini appointed Managing Director, Marco Canale appointed Chairman.

The new board elections were conducted in accordance with the shareholders’ agreements between the majority shareholder, Manutencoop Società Cooperativa, and financial investors , which was signed on July.

Manutencoop Facility Management S.p.A. announces that Aldo Chiarini has been appointed as Managing Director and Marco Canale as Chairman today.

The Managing Director, Aldo Chiarini, has been granted the main functions and powers to manage MFM.

Aldo Chiarini, 56 years old, has a degree in chemical engineering from the Milan Polytechnic Institute and has experience in the oil & energy, energy efficiency and facility management industries in Italy and abroad. He began his career in 1986 with Petrol Company, where he became CEO in 1994. His professional capabilities span from organizational management of complex issues to technical knowledge of network services and energy management. In 2000, he was appointed CEO of Elyo Italia (currently Cofely). In 2009, he became first General Manager of Suez Energia Italia S.p.A. and than the CEO. In 2010 and 2011, he was a member of the Board of Directors of Acea S.p.A. In 2012, he managed the Energy division of Gdf Suez for Southern Europe. In the beginning of 2016, Chiarini was appointed the Chairman of Engie Italia.

The new Chairman, Marco Canale, has been granted the functions assigned by law, by the Bylaws of MFM and by the shareholders' agreements.

Marco Canale, 56 years old, has a degree in Economics from the University of Florence and is a registered accountant. He is an directorial member of AIFI. Canale has extensive experience in credit and financial institutions. After an experience at the Banco di Napoli, he began working for the Bank of Italy in 1992. In 1999, he began managing the Private Equity and M&A division of MPS. He has been with MPVenture SGR S.p.A. since its foundation and became CEO and General Manager in 2010. In 2011, MPVenture SGR S.p.A. was deconsolidated from the MPS group and is currently an independent firm specialized in managing private equity funds, which holds a stake in the capital of MFM. From 2014 to 2016, he was member of Management Board of MFM and today he is appointed as Chairman. Canale has also held numerous management positions in service and manufacturing companies.

The new board elections were conducted in accordance with the Shareholders' agreements between the majority shareholder, Manutencoop Società Cooperativa, and financial investors , which was signed on July 19, 2016 (the “New Shareholders' Agreements”).

The new Management Board of MFM appointed today, that will remain in charge until the Shareholders' Meeting approving the December 31, 2018 financial statements, is composed of:

The appointment of the new Management Board (Consiglio di Gestione) guarantees continuity for Manutencoop Facility Management as it will further strengthen the managerial structure of the Group while at the same time continues the growth realized with former Chairman Claudio Levorato, whose leadership brought the Group from revenues of approximately € 16 million in 1984 to consolidated revenues of approximately € 956 million in 2015. In the same direction, the number of employees has grown from hundreds of employees to approximately 20,000 employees today, making MFM the market leader, with offices and operational facilities throughout Italy.

In accordance with the New Shareholders' Agreements, the Shareholders have completed the transfer of some existing shares of MFM from Manutencoop Società Cooperativa to financial investors, which increased their respective shareholding by between approximately 21% to 33%.
