Giuliano Di Bernardo, current Chairman of the Board of Directors, also appointed Chief Executive Officer

Aldo Chiarini resigned from his position as CEO as a result of the completion of the new governance structure. Andrea Gozzi appointed Managing Director. These appointments are part of a redefined organizational model of the Company aimed at promoting internal growth and enhancing younger resources.

The Board of Directors of Manutencoop Facility Management S.p.A., in today’s meeting, following the resignation of Aldo Chiarini as the Company’s Chief Executive Officer, has appointed Giuliano Di Bernardo, current Chairman of the Board of Directors, as the new Chief Executive Officer.

Specifically, the Legal Affairs, Administration and Control, Finance & Treasury, Strategic Finance, Merger & Acquisition, and Investor Relations Divisions will all report directly to Mr. Di Bernardo, in his capacity as Chairman and newly appointed CEO of MFM. Further, Mr. Di Bernardo will also be responsible for the Group’s subsidiaries, Servizi Ospedalieri, H2H Facility Solutions, Telepost, Sicura, E-Digital Services, Manutencoop International and Yougenio.

The resignation of Aldo Chiarini, fully agreed with the Board of Directors, flows from the new corporate governance structure following the exit of the Minority Shareholders of MFM, which occurred on October 13, 2017, and the new role of Manutencoop Società Cooperativa as its sole shareholder.

The Board of Directors, in today’s meeting and pursuant to the Company’s bylaws, has further resolved to replace Aldo Chiarini with Laura Duò, as a new member of the Board itself.

The Board of Directors has also resolved to approve a broader-based plan involving the Group’s organizational and management structure, which entails the appointment of Andrea Gozzi, current Chief Operating Officer of the Company, as the new Managing Director. Mr. Gozzi will be responsible for the Business Operations Management, Human Resources & Organization, Sales, Design & Continuous Improvement, Marketing & Innovation, Business Digital Solutions Divisions, as well as all areas of operations (i.e., Nord Ovest; Triveneto; Emilia Romagna; Centro; Centro Sud; Clienti Direzionali and Project Financing).

Likewise, as of today’s date, Luca Buglione, current Head of Strategic Planning and Merger & Acquisitions, is the new Head of Investor Relations in replacement of Riccardo Bombardini, the latter being appointed as the new Head of Group Strategies & Control of Manutencoop Società Cooperativa.

The newly approved organizational structure aims at enhancing growth from within the Group, by promoting internal resources and assigning management positions to employees of less than 45 years of age, as well as fostering female representation at top management level, through the appointment of 9 women as heads of Divisions and departments. Therefore, the new organizational structure acknowledges the Group’s commitment to promote and foster its resources, the latter being key to the success of a dynamic and constantly growing player like MFM.

The Company wishes to thank Aldo Chiarini for the commitment exercised throughout his office, where he successfully navigated MFM at a critical stage of its recent past, and contributed effectively to the completion of the transaction leading to the exit of the Minority Shareholders from the governance of MFM.

Giuliano Di Bernardo, 57 years of age, born in Mirano (Venezia), began his carrer by working in the marketing divisions at Mondadori and Poligrafici Editoriale. Mr. Di Bernardo joined MFM in 1999, as Promotion & Development Manager for the North East area. In 2010 he was appointed Operations Manager for the Triveneto area, prior to serve as Vice Chairman of MFM in 2016 and Chairman of the Company in October 2017.
